1. Acceptance of Terms

By accessing or using the Constellation One platform ("Platform", "Constone", or "Service"), you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"), including our Privacy Policy, incorporated by reference.

These Terms constitute a legally binding agreement between you and Constellation One Contracting Company LLC ("Company", "we", "us", "our"), an Ohio-based limited liability company operating a construction contractor marketplace and dispatch scheduling platform.

Your electronic acceptance — including clicking "Agree", creating an account, or continuing to use the Platform — constitutes your signature and intent to be legally bound by these Terms.

2. Platform Description & Program Name

Program Name: Constellation One — Constone Platform

Program Description: Constone is a multi-sided construction contractor marketplace and dispatch scheduling platform operating in Ohio, United States. The Platform connects residential and commercial property owners (Customers) with licensed trade professionals (Contractors). Services include job assessment, scheduling, contractor matching, performance scoring, real-time notifications, and project coordination.

Users receive SMS/text message notifications related to their platform activity, including but not limited to: job alerts, scheduling windows, contractor dispatch updates, appointment confirmations, project status changes, and account security notices.

IMPORTANT: Platform Role & Limitations

What Constellation One IS:

  • A technology platform connecting customers with independent contractors
  • A marketplace facilitating introductions and scheduling coordination
  • A provider of estimation tools, matching algorithms, and communication systems

What Constellation One IS NOT:

  • ❌ NOT a general contractor, construction company, or employer
  • ❌ NOT a party to contracts between customers and contractors
  • ❌ NOT responsible for the quality, safety, or legality of contractor work
  • ❌ NOT a guarantor of project completion, timelines, or outcomes
  • ❌ NOT an insurer of contractor performance or customer satisfaction
🛑 Independent Contractor Relationship: All contractors on the Platform are independent businesses operating under their own licenses, insurance, and business practices. They are NOT employees, agents, or representatives of Constellation One.

📄 Direct Contracts: When a contractor accepts a project, the contract for work is formed directly between the customer and contractor. Constellation One is not a party to that contract and assumes no obligations under it.

⚠ Liability Rests With Contractors: Contractors are solely responsible for quality and safety of their work, compliance with codes, obtaining permits, carrying required licenses and insurance, and any property damage or personal injury resulting from their work.

3. Eligibility & Account Registration

To use the Platform, you must:

  • Be at least 18 years of age;
  • Have legal capacity to enter binding contracts under Ohio law;
  • Provide accurate, current, and complete registration information;
  • Maintain a valid email address and, if opting into SMS, a valid mobile phone number;
  • Not be barred from using the Platform under applicable law.

Contractors must additionally hold all applicable Ohio state and local licenses, maintain required insurance coverage, and comply with Ohio Revised Code contractor registration requirements.

4. User Roles & Responsibilities

Customers

  • Provide accurate project descriptions and property information;
  • Respond to contractor and platform communications in a timely manner;
  • Ensure safe site access for scheduled contractors;
  • Pay agreed amounts promptly per platform terms.

Contractors

  • Maintain all required Ohio licenses, certifications, and insurance;
  • Accept and complete claimed jobs in accordance with the platform's scheduling system;
  • Communicate professionally with customers and platform staff;
  • Comply with all platform performance and conduct standards.

All Users

  • Keep account credentials secure and confidential;
  • Report unauthorized account access immediately to support@constellationone.biz;
  • Comply with all applicable laws and these Terms.

4.5 Contractor Verification & Ongoing Compliance

Platform Verification Process: Constellation One makes reasonable efforts to verify contractor credentials during onboarding, which may include requesting copies of trade licenses, proof of general liability insurance ($1,000,000 minimum), reviewing state licensing databases, and collecting business registration documents.

⚠ IMPORTANT LIMITATIONS:

Platform verification is conducted on a "reasonable effort" basis and does NOT guarantee the accuracy, completeness, or currency of contractor information. The Platform:
  • Does NOT continuously monitor license or insurance status
  • Does NOT verify every detail of contractor-provided information
  • Does NOT inspect contractor work quality or job sites
  • Does NOT guarantee contractors will maintain compliance after verification
Information May Become Outdated: Licenses may expire, be suspended, or revoked; insurance policies may lapse or be cancelled; certifications may expire.

Contractor's Ongoing Obligations: Contractors represent and warrant they will maintain all required licenses, permits, and insurance in active, valid status at all times, and immediately notify Platform of any license suspension, revocation, or insurance cancellation.

Customer Responsibility: Customers are encouraged to independently verify contractor credentials before entering contracts, request current license and insurance certificates, and check state licensing databases directly.

THE PLATFORM'S VERIFICATION PROCESS DOES NOT RELIEVE CUSTOMERS OR CONTRACTORS OF THEIR OBLIGATION TO VERIFY CREDENTIALS AND COMPLY WITH LAWS. CUSTOMERS AND CONTRACTORS INTERACT AT THEIR OWN RISK.

5. SMS / Text Messaging Program

📱 SMS Program Summary

  • Program Name: Constellation One (Constone) SMS Notifications
  • Message Types: Job alerts, scheduling updates, dispatch confirmations, appointment reminders, project status changes, account security notices, and platform announcements
  • Message Frequency: Varies based on account activity. Customers typically receive 2–10 messages per active project. Contractors may receive messages more frequently based on job claims and dispatch activity.
  • Message & Data Rates: Message and data rates may apply depending on your carrier plan. Constellation One does not charge for SMS messages; however, your mobile carrier's standard rates apply.
  • To get help: Reply HELP or email support@constellationone.biz
  • To opt out: Reply STOP at any time to cancel all SMS messages. You will receive one final confirmation message, then no further messages will be sent.

5.1 How Users Opt In

End users opt in to receive SMS messages from Constellation One by registering an account at https://mega.constellationone.biz and providing their mobile phone number during the registration process. During account creation, users must check a box explicitly agreeing to receive text messages from Constellation One (Constone) for job alerts, scheduling notifications, and platform updates. Opt-in is confirmed upon account creation.

Additionally, users may opt in by texting START to the Constellation One messaging number to receive platform notifications.

5.2 Opt-In Confirmation Message

Upon successful opt-in, users will receive the following auto-reply:

"Constellation One: You're now opted in to receive job alerts, scheduling updates & platform notifications. Msg & data rates may apply. Msg frequency varies. Reply HELP for help, STOP to cancel."

5.3 Opt-In Keywords

Users may text the following keyword to opt in:

  • START — Opt in to all Constellation One SMS notifications

5.4 Opt-Out

You may opt out of SMS messages at any time by replying STOP to any message received from Constellation One. Upon receipt of your STOP request, we will send a single confirmation message confirming your opt-out, and no further messages will be sent to your number unless you opt back in.

You may also opt out by:

  • Updating your notification preferences in your account settings;
  • Emailing support@constellationone.biz with subject line "SMS Opt-Out" and your registered phone number.

5.5 HELP

For assistance, reply HELP to any SMS message from Constellation One. You will receive a response with support options. You may also contact us directly:

5.6 Supported Carriers

Constellation One SMS messages are supported on all major U.S. wireless carriers. Carrier availability for SMS may vary. Constellation One is not responsible for delays or failures in SMS delivery attributable to your carrier.

5.7 No Third-Party Sharing

We will not share your mobile phone number with third parties for their marketing purposes. Your phone number is used solely to deliver platform notifications and communications described in these Terms and our Privacy Policy.

6. Privacy & Data Use

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal information.

Key principles:

  • We collect only data necessary to operate the Platform;
  • We do not sell your personal information to third parties;
  • We do not share your mobile phone number or personal data for third-party marketing;
  • You have the right to request access to, correction of, or deletion of your personal data by contacting privacy@constellationone.biz;
  • Data is retained only as long as necessary for platform operations and legal compliance.

7. Financial Terms & Fees

Platform fees, contractor compensation structures, payment processing terms, cancellation policies, and refund procedures are detailed within the Platform dashboard and may be updated with 30 days' notice. By using the Platform, you agree to pay all applicable fees.

  • Payments processed through secure third-party payment processors;
  • Cancellation fees may apply per the terms displayed at time of booking;
  • Contractors are independent contractors, not employees of Constellation One;
  • Tax obligations are the sole responsibility of each user.

7.6 Project Estimates & Pricing Disclaimer

The Platform may provide project cost estimates based on customer-provided information, historical data, and automated calculations.

⚠ ESTIMATES ARE NOT BINDING QUOTES

Platform-generated estimates are:
  • For informational and planning purposes ONLY
  • NOT binding price quotes or contractual commitments
  • NOT guarantees of final project cost
  • Subject to change based on actual site conditions
Actual costs may vary significantly (often 20%+ higher or lower) based on direct negotiation between customer and contractor, actual site conditions, material price fluctuations, scope changes, and unforeseen complications.

Constellation One is NOT liable for: Differences between estimates and actual costs, contractor pricing variations, budget shortfalls, cost overruns, or economic losses due to estimate inaccuracies.

Contractor Pricing Independence: Contractors are independent businesses and set their own pricing. They are NOT required to match Platform estimates and may charge more or less than estimated amounts. Final pricing is negotiated directly between customers and contractors.

Customers should obtain written quotes from contractors before work begins, clarify what is included in quoted prices, consider getting multiple bids for large projects, and build contingency into budgets (typically 10-20%).

8. Prohibited Conduct

Users may not:

  • Provide false, misleading, or fraudulent information;
  • Circumvent the Platform to conduct business outside the platform with contacts made through the platform;
  • Harass, threaten, or discriminate against any other user;
  • Scrape, copy, or redistribute Platform data without authorization;
  • Use the Platform for any unlawful purpose;
  • Manipulate performance scores or review systems;
  • Gain unauthorized access to any system or data.

Violations may result in immediate account suspension or termination and may be reported to appropriate authorities.

9. Intellectual Property

All content, software, logos, designs, algorithms, and materials on the Platform are the exclusive property of Constellation One or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only.

User-generated content (project descriptions, photos, reviews) remains owned by the submitting user, but you grant Constellation One a worldwide, royalty-free license to use such content to operate and improve the Platform.

10. Limitation of Liability & Disclaimers

10.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY OHIO LAW, CONSTELLATION ONE'S TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(A) $100.00 (one hundred dollars), OR
(B) The total amount you paid to Constellation One in the 6 months immediately preceding the claim

This limitation applies to all causes of action, whether in contract, tort, negligence, strict liability, or otherwise.

10.2 "AS IS" and "AS AVAILABLE" Disclaimer

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Constellation One Disclaims All Warranties, Including:

  • ❌ Warranties of merchantability
  • ❌ Warranties of fitness for a particular purpose
  • ❌ Warranties of non-infringement
  • ❌ Warranties arising from course of dealing or usage of trade

Specifically, Constellation One Does NOT Warrant:

  • The Platform will operate uninterrupted or error-free
  • Information on the Platform is accurate, complete, or current
  • Estimates will match actual project costs
  • Contractors will perform work competently or complete projects
  • Projects will be completed on time or within budget
  • Contractor-provided credentials are accurate or current
  • Any particular results will be achieved

10.3 Excluded Damages

CONSTELLATION ONE SHALL NOT BE LIABLE FOR:

Indirect Damages: Lost profits, revenue, business opportunities, loss of data, cost of substitute services, or damage to reputation.

Consequential Damages: Property damage caused by contractor work, personal injury from contractor negligence, project delays, cost to repair defective contractor work, or relocation expenses.

Punitive Damages: Punitive or exemplary damages of any kind.

This exclusion applies EVEN IF Constellation One has been advised of the possibility of such damages.

10.4 Third-Party Conduct

Platform Not Liable for User Actions:

Constellation One is NOT responsible for:

  • 🚫 Quality, safety, or legality of contractor work
  • 🚫 Contractor delays, no-shows, or project abandonment
  • 🚫 Property damage or personal injury caused by contractors
  • 🚫 Theft, fraud, or criminal acts by contractors or customers
  • 🚫 Contractor failure to obtain permits or comply with codes
  • 🚫 Customer failure to pay contractors
  • 🚫 Disputes between users
  • 🚫 Payment processor errors, SMS delivery failures, or internet service interruptions
User Assumption of Risk: By using the Platform, you acknowledge and agree that you interact with other users at your own risk. Platform verification does not eliminate all risks. You should exercise reasonable caution and independent due diligence. You are solely responsible for contracts you enter into.

10.5 Contractor Insurance Requirement

All contractors are required to maintain general liability insurance (minimum $1,000,000 coverage) and workers' compensation insurance (if required by state law).

If you experience property damage or injury from contractor work: Document the damage, request contractor's insurance information, file claim directly with contractor's insurance carrier, and if unresolved, pursue legal action against the contractor (not Platform).

Constellation One is NOT an insurer and does not provide insurance coverage for contractor work quality, property damage, personal injury, or project completion guarantees.

10.6 Indemnification

You agree to indemnify, defend, and hold harmless Constellation One, its officers, directors, employees, contractors, agents, and suppliers from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms or any applicable law
  • Your violation of any rights of another person or entity
  • Information you submit or transmit through the Platform
  • Your representations or warranties (including credential accuracy)
  • Work performed by or through you
  • Contracts between you and other users
  • Your negligence or willful misconduct

This indemnification obligation survives termination of your account and these Terms.

11. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall first be subject to good-faith informal negotiation for 30 days before either party may initiate formal proceedings.

If informal resolution fails, disputes shall be resolved by binding arbitration in Cleveland, Ohio, per the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You agree to resolve disputes individually and waive any right to class action proceedings.

12. Termination

You may terminate your account at any time by contacting support@constellationone.biz. Constellation One may suspend or terminate accounts for violations of these Terms, fraudulent activity, or at our discretion with 30 days' notice (or immediately for cause).

Upon termination, your right to use the Platform ceases. Provisions regarding liability, dispute resolution, intellectual property, and financial obligations survive termination.

13. Modifications to Terms

Constellation One reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email and/or in-platform notification. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
