By accessing or using the Constellation One platform ("Platform", "Constone", or "Service"), you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"), including our Privacy Policy, incorporated by reference.
These Terms constitute a legally binding agreement between you and Constellation One Contracting Company LLC ("Company", "we", "us", "our"), an Ohio-based limited liability company operating a construction contractor marketplace and dispatch scheduling platform.
Your electronic acceptance — including clicking "Agree", creating an account, or continuing to use the Platform — constitutes your signature and intent to be legally bound by these Terms.
Program Name: Constellation One — Constone Platform
Program Description: Constone is a multi-sided construction contractor marketplace and dispatch scheduling platform operating in Ohio, United States. The Platform connects residential and commercial property owners (Customers) with licensed trade professionals (Contractors). Services include job assessment, scheduling, contractor matching, performance scoring, real-time notifications, and project coordination.
Users receive SMS/text message notifications related to their platform activity, including but not limited to: job alerts, scheduling windows, contractor dispatch updates, appointment confirmations, project status changes, and account security notices.

To use the Platform, you must:
Contractors must additionally hold all applicable Ohio state and local licenses, maintain required insurance coverage, and comply with Ohio Revised Code contractor registration requirements.
Platform Verification Process: Constellation One makes reasonable efforts to verify contractor credentials during onboarding, which may include requesting copies of trade licenses, proof of general liability insurance ($1,000,000 minimum), reviewing state licensing databases, and collecting business registration documents.
Contractor's Ongoing Obligations: Contractors represent and warrant they will maintain all required licenses, permits, and insurance in active, valid status at all times, and immediately notify Platform of any license suspension, revocation, or insurance cancellation.
Customer Responsibility: Customers are encouraged to independently verify contractor credentials before entering contracts, request current license and insurance certificates, and check state licensing databases directly.
THE PLATFORM'S VERIFICATION PROCESS DOES NOT RELIEVE CUSTOMERS OR CONTRACTORS OF THEIR OBLIGATION TO VERIFY CREDENTIALS AND COMPLY WITH LAWS. CUSTOMERS AND CONTRACTORS INTERACT AT THEIR OWN RISK.
End users opt in to receive SMS messages from Constellation One by registering an account at https://mega.constellationone.biz and providing their mobile phone number during the registration process. During account creation, users must check a box explicitly agreeing to receive text messages from Constellation One (Constone) for job alerts, scheduling notifications, and platform updates. Opt-in is confirmed upon account creation.
Additionally, users may opt in by texting START to the Constellation One messaging number to receive platform notifications.

Constellation One SMS messages are supported on all major U.S. wireless carriers. Carrier availability for SMS may vary. Constellation One is not responsible for delays or failures in SMS delivery attributable to your carrier.
We will not share your mobile phone number with third parties for their marketing purposes. Your phone number is used solely to deliver platform notifications and communications described in these Terms and our Privacy Policy.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal information.
Key principles:
Platform fees, contractor compensation structures, payment processing terms, cancellation policies, and refund procedures are detailed within the Platform dashboard and may be updated with 30 days' notice. By using the Platform, you agree to pay all applicable fees.
The Platform may provide project cost estimates based on customer-provided information, historical data, and automated calculations.
Contractor Pricing Independence: Contractors are independent businesses and set their own pricing. They are NOT required to match Platform estimates and may charge more or less than estimated amounts. Final pricing is negotiated directly between customers and contractors.
Customers should obtain written quotes from contractors before work begins, clarify what is included in quoted prices, consider getting multiple bids for large projects, and build contingency into budgets (typically 10-20%).
Users may not:
Violations may result in immediate account suspension or termination and may be reported to appropriate authorities.
All content, software, logos, designs, algorithms, and materials on the Platform are the exclusive property of Constellation One or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only.
User-generated content (project descriptions, photos, reviews) remains owned by the submitting user, but you grant Constellation One a worldwide, royalty-free license to use such content to operate and improve the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY OHIO LAW, CONSTELLATION ONE'S TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
(A) $100.00 (one hundred dollars), OR
(B) The total amount you paid to Constellation One in the 6 months immediately preceding the claim
This limitation applies to all causes of action, whether in contract, tort, negligence, strict liability, or otherwise.
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Constellation One Disclaims All Warranties, Including:
Specifically, Constellation One Does NOT Warrant:
CONSTELLATION ONE SHALL NOT BE LIABLE FOR:
Indirect Damages: Lost profits, revenue, business opportunities, loss of data, cost of substitute services, or damage to reputation.
Consequential Damages: Property damage caused by contractor work, personal injury from contractor negligence, project delays, cost to repair defective contractor work, or relocation expenses.
Punitive Damages: Punitive or exemplary damages of any kind.
This exclusion applies EVEN IF Constellation One has been advised of the possibility of such damages.
Platform Not Liable for User Actions:
Constellation One is NOT responsible for:
All contractors are required to maintain general liability insurance (minimum $1,000,000 coverage) and workers' compensation insurance (if required by state law).
If you experience property damage or injury from contractor work: Document the damage, request contractor's insurance information, file claim directly with contractor's insurance carrier, and if unresolved, pursue legal action against the contractor (not Platform).
Constellation One is NOT an insurer and does not provide insurance coverage for contractor work quality, property damage, personal injury, or project completion guarantees.
You agree to indemnify, defend, and hold harmless Constellation One, its officers, directors, employees, contractors, agents, and suppliers from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
This indemnification obligation survives termination of your account and these Terms.
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall first be subject to good-faith informal negotiation for 30 days before either party may initiate formal proceedings.
If informal resolution fails, disputes shall be resolved by binding arbitration in Cleveland, Ohio, per the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in any court of competent jurisdiction.
Class Action Waiver: You agree to resolve disputes individually and waive any right to class action proceedings.
You may terminate your account at any time by contacting support@constellationone.biz. Constellation One may suspend or terminate accounts for violations of these Terms, fraudulent activity, or at our discretion with 30 days' notice (or immediately for cause).
Upon termination, your right to use the Platform ceases. Provisions regarding liability, dispute resolution, intellectual property, and financial obligations survive termination.
Constellation One reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email and/or in-platform notification. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
